Subject Overview:
  • Introduction to corporate governance (including the prevalent models of corporate governance in key financial centres)
  • The global financial crisis: Causes (including analysis of governance of risk management, executive remuneration, securitisation and structured finance and credit derivatives)
  • The global financial crisis:
    - Consequences
    - Market responses
    - Regulatory responses.
Objectives:

A student who has successfully completed this subject should:

  • Have acquired a broadly based understanding of the key corporate governance and finance issues in the context of the global financial crisis
  • Have analysed several corporate governance mechanisms and how they functioned during, and in some instances contributed to, the global financial crisis
  • Understand key reforms to corporate and securities law and corporate governance arising from the global financial crisis.
Assessment:

Class presentation (25%)
7,500 word research paper (75%) (4 October) on a topic approved by the subject coordinator (topic must be different to the topic of the class presentation)
The class presentation will comprise an individual presentation of 15 to 20 minutes on a topic to be approved by the subject coordinator, a 1,000 word synopsis and a bibliography. Students must choose a topic from a range of categories set out in the Reading Guide. Presentations will commence on the second day of class. Topics must be approved before classes commence.
