Objectives:

A student who has successfully completed this subject should:

  • Be familiar with the purpose and structure of OTC derivatives documentation, including that used in the United States
  • Understand the relevant terms and business uses of OTC derivatives
  • Be able to identify key issues when negotiating an OTC derivatives transaction
  • Understand bankruptcy and restructuring implications of OTC derivatives
  • Be familiar with the US and international jurisdictional and regulatory issues surrounding OTC derivatives
  • Identify and articulate public policy concerns, in the US and elsewhere, with OTC derivatives transactions.

Syllabus:

Principal topics will include:

  • OTC derivatives: Uses, terms and public policy issues
  • Understanding how OTC derivatives documentation works
  • Understanding the key business and investment uses of OTC derivatives
  • Choice of law and enforcement of OTC derivatives
  • Public policy questions: Are OTC derivatives useful, and how much disclosure is warranted?
Assessment:
  • Take-home examination (100%) (24–27 April)
