Objectives:

A student who has successfully completed this subject should understand the important parts of United States corporate law, including the law relating to the formation and governance of companies.

 


Syllabus:

Principal topics will include:

  • Formation of corporations
  • Aspects of corporate finance
  • Managerial accounting
  • Relation of US to English and Australian law
  • Aspects of corporate governance
  • Relation of state and federal law in the US
  • Introduction to securities law.
Assessment:
  • Take-home examination (100%) (3–6 July)
